康哲药业(00867)公告，集团通过其全资附属公司与Blueberry Therapeutics Limited于2018年8月14日签订了资产购买协议。
Blueberry Therapeutics Limited, (“Blueberry Therapeutics”) a drug discovery and development company focused on developing innovative nanomedicines for difficult to treat skin and nail infections, today announces that it has successfully completed its £10m Series B Fundraising with investment from China Medical Venture Investment (HK) Limited, a wholly owned subsidiary of China Medical System Holdings Limited (“CMS”), and A&B (HK) Company Limited (“A&B”).
Blueberry Therapeutics will use the net proceeds of the Series B Fundraising to fund its development programme for BB2603 for the treatment of onychomycosis and tinea pedis, as well as progressing its earlier stage acne, topical analgesia and atopic dermatitis programmes.
根据协议，集团购得Blueberry Therapeutics领先产品BB2603(用于治疗甲真菌病和足癣)的中国、韩国、朝鲜及蒙古的全部相关资产;集团进一步获取Blueberry Therapeutics利用其独特纳米制剂输送系统在皮肤科及其他领域正在开发或后续开发的其他管线产品(如用于治疗特应性皮炎、痤疮等方面的产品)的区域内全部相关资产的权利。
上述资产具体包括但不限于所有区域内的关于产品研发、商业化及生产方面的国家专利、国家商标及必要的注册许可等。另外，根据协议集团还获得与此次交易有关的所有必要许可。
BB2603是一种采用了纳米技术的新型皮肤喷雾剂，用於治疗甲真菌病和足癣，正在德国进行I/II期临床试验，计划在美国、欧洲开展Ⅲ期临床试验，并已在中国申请制剂专利保护。

2018年7月31日康哲药业发布公告，集团通过其全资附属公司与Acticor Biotech签订了资产转让和许可协议。通过协议，集团从Acticor Biotech购得其产品ACT017及以相同化合物为基础开发的后续产品的中国(包括香港特别行政区、澳门特别行政区和台湾)、新加坡、菲律宾、韩国、马来西亚等亚洲指定国家(不含日本、印度和西亚国家)的全部相关资产，资产具体包括但不限于区域内的所有的技术诀窍、知识产权或知识产权申请权、必要的注册许可、专属于区域的文件、档案、数据或信息及其他用于研发、注册、生产和商业化产品的必要权利。另外，根据协议集团还获得与该次交易有关的所有必要许可。集团相信产品于区域上市后将拥有广阔的市场前景，通过此次合作，集团将加快引进专利创新产品的步伐，为未来发展积累丰富的产品储备。
据悉，ACT017是高亲和力人源化抗体片段(Fab)、血小板糖蛋白VI(GPVI)抑制剂，开发用于急性缺血性脑卒中的治疗，作为溶栓和血栓切除术的附加疗法或作为不适合溶栓治疗的患者的独立治疗方案。ACT017通过静脉注射给药，能够快速起效;半衰期短，不易在体内造成药物蓄积。ACT017的物质专利已通过PCT国际申请途径进入中国并已公开，如获授权，保护期限将至2036年。
2018年8月6日，康哲药业公布，集团通过其全资附属公司与Can-Fite BioPharma Ltd.签订了许可、合作与经销协议。根据该协议的约定，集团通过其全资附属公司从Can-Fite BioPharma获得了其现有产品CF101（Piclidenoson）及CF102（Namodenoson）在中国(包括香港特别行政区、澳门特别行政区和台湾)的独家、永久、可转让、可分许可的研发、注册、生产和商业化产品的权利。其中，集团获许可的产品主要适应症分别是：CF101为类风湿性关节炎(RA)及银屑病，CF102为肝细胞癌(HCC)及非酒精性脂肪性肝病(NAFLD)/非酒精性脂肪性肝炎(NASH)。
Upfront and milestone payments total up to $74.5M plus double-digit royalties.
CMS will be responsible for the development, registration and marketing of the drugs in China.
Under the terms of the agreement, CMS Medical is making an upfront payment of $2,000,000 to Can-Fite and is required to pay to Can-Fite milestone payments of up to $14,000,000 upon the achievement of certain regulatory milestones and payments of up to $58,500,000 upon the achievement of certain sales milestones. In addition, the agreement provides for double-digit royalty payments on net sales.
此次合作进一步丰富了集团的专利创新储备产品种类，相信产品于区域上市后将拥有广阔的市场前景。
Can-Fite BioPharma是一家临床阶段的生物制药公司，开发用于治疗自身免疫性炎症、肿瘤和肝脏疾病以及性功能障碍的小分子治疗产品。
